If you use the Mobile Software, your location may be tracked on the mobile device on which the Mobile Software is installed. ASSL will not collect, transmit or otherwise use this information without your permission. We use location data to provide you relevant search results for spaces in your area. When you download and use our Mobile Software, we automatically collect information on the type of device you use, operating system version, and the device identifier.

Where possible, we indicate which fields are required and which fields are optional. If you use the Mobile Software, your location may be tracked on the mobile device on which the Mobile Software is installed. As a Member, you can control when Venue Owners or other Members can see your location through your privacy settings. To opt out of location tracking, please change your settings at the device level.
When you download and use our Mobile Software, we automatically collect information on the type of device you use, operating system version, and the device identifier.
We may occasionally use your contact information to send you notifications regarding new services offered by ASSL and its partners that we think you may find valuable. ASSL may also send you service-related announcements from time to time through the general operation of the Service. Generally, you may opt out of such emails by following the unsubscribe option included in each email, although ASSL reserves the right to send you notices about your account even if you opt out of all voluntary email notifications.
You may choose to provide information about you, your company or organization or, if you are a Venue Owner, your Venue to other Users and to the public by providing such information on public areas of the Site ("Public Information"). Public Information consists of information that is posted by you on areas of the Site accessible by other Users and/or the public, such as Venue descriptions. Public information does not include information you submit to us but do not post on areas of the Site accessible by other Users and/or the public, such as billing and payment information ("Non-Public Information").
We will share your personal information with third parties only in the ways that are described in this privacy policy. We do not sell your personal information to third parties. We share your Non-Public Information with third parties only in limited circumstances where we believe such sharing is reasonably necessary to offer the Service, legally required or, permitted by you. We may provide Non-Public Information to service providers who help us bring you the services we offer, such as hosting the service at a co-location facility, sending email updates about ASSL, removing repetitive information from our User lists, processing payments, or to provide search results or links. ASSL values Security Precaution opinions and comments from members, so we frequently conduct online surveys. Participation in these surveys is entirely optional. Typically, the information is aggregated, and used to make improvements to the Website and its services and to develop appealing content, features and promotions for Website members. Survey participants are anonymous unless otherwise stated in the survey.

Request Process:
Users or companies may submit a request for the deletion of their data by contacting our customer support team via email grievance@awfis.com. The request must include relevant information to verify the identity of the entity making the request and the specific data to be deleted.
Verification:
Upon receiving a deletion request, our team will verify the identity of the entity making the request to ensure the security of the data. We may request additional information or documentation to validate the request if necessary.
Processing Time:
Awfis will process all deletion requests within seven (07) business days from the date of receipt of such request and shall intimate to the relevant user or organization regarding the same. The processing time may vary depending on the complexity of the request and the volume of data to be deleted. We will ensure that the data is permanently removed. However, if Awfis is unable to delete any data due to any law, regulation, or order of court, it will notify the Users or companies in writing of the same.

1.1. These Terms & Conditions (“Terms”) govern the AWFIS Corporate Wallet Credit Programme (“Programme”) offered by Awfis Space Solutions Limited (CIN L74999DL2014PLC274236) (“Awfis”, “we”, “our”, “us”).
1.2. Participation is by invitation only and open solely to corporate customers holding a valid Membership Agreement with Awfis (“Member Company”).
1.3. By loading, allocating, receiving or redeeming Credits (defined below), the Member Company and each participating employee (“Employee”) (a) confirm that they have read, understood and accepted (i) these Terms and (ii) the Awfis Privacy Policy together with any general terms and conditions applicable to Awfis products or services (“T&Cs”); and (b) acknowledge that, for the limited purpose of the Programme, these Terms shall prevail over the Main T&Cs to the extent of any inconsistency, unless Awfis expressly agrees otherwise in writing.
1.4. If you do not agree, do not enrol in or use the Programme.
Headings are for convenience only and do not affect construction. Including means “including, without limitation”. Undefined capitalised terms carry the meaning given in the Membership Agreement unless the context requires otherwise.

Programme Administrator | The person nominated by the Member Company to control its Corporate Balance and portal permissions. |
Wallet | The closed-system prepaid instrument recorded in Awfis’s central MIS. |
Dashboard | The digital interface (web or app-based) developed and provided by Awfis to Companies, through which Companies may log in securely, allocate wallet credits to their Employees, monitor wallet usage, generate reports, and manage all administrative actions related to the Awfis Wallet. |
4.1. The Wallet is a closed-system prepaid instrument; value can be spent only with Awfis (including vouchers or merchandise Awfis resells).
4.2. Because no third-party merchant directly accepts Wallet value, the Programme is outside the RBI licence regime for semi-closed PPIs.
4.3. Awfis nonetheless maintains transaction records, audit trails and a two-tier grievance mechanism in line with good industry practice.
5.1. Invitation-only: Only Member Companies that receive written invitation from Awfis may enrol.
5.2. The Member Company shall:
5.2.1. complete basic corporate KYC (PAN, GSTIN, board resolution);
5.2.2. designate at least one Programme Administrator in the Awfis Dashboard; and
5.2.3. provide an interest-free, security deposit or two (2) undated cheques together equal to 50% of the first load amount.
6.1. Self-funding: The Member Company may credit any amount, at any time via NEFT/RTGS/IMPS or the online portal (UPI, net-banking, etc.) on the Awfis Dashboard, ideally on a monthly frequency.
6.2. Interim Process (Prior to Dashboard Activation): Until the Dashboard is launched, Member Companies may request wallet credit allocations by sending an email to anirudh.jain@awfis.com along with a signed request or payment reference. Such requests must include employee identifiers, credit amounts, and confirmation of payment via NEFT/RTGS to the designated Awfis account. Wallet credits will be processed only upon receipt of funds and valid authorization. Awfis will share payment instructions and credit templates upon request.
6.3. Tax document.
6.3.1. Standard Mode: Awfis issues a GST invoice (18 % GST).
6.3.2. Voucher- only Mode: Awfis issues a 0 % GST Bill of Supply.
6.4. Credit timeline. Cleared funds are added to the Corporate Balance within two (2) Business Days.
6.5. Self-allocation. Once the portal is active, the Programme Administrator may set, change or revoke Employee Wallet limits directly. Until then, Awfis will act upon written instructions within one (1) Business Day.
7.1. Credits are non-interest-bearing, non-refundable and non-transferable outside the Programme.
7.2. If Awfis discontinues the Programme, it will give three (3) month’s prior written notice; Unused Credits must be utilised within that period. Unused Credits automatically expire at the end of that notice period and are permanently forfeited.
7.3. If an Employee leaves employment of the Member Company who has signed up, his access to the Awfis Corporate Wallet will cease.
7.4. If the Membership Agreement expires or is terminated, then access to Awfis Corporate Wallet will cease from the date of termination.
8.1. Permitted Uses (Standard Mode):
8.1.1. food & beverages at Awfis cafés and tuck shops;
8.1.2. Awfis workspace services (day passes, meeting rooms, event spaces, daily cabins, etc.);
8.1.3. e-vouchers, gift cards or merchandise sold by Awfis through the Awfis App.
8.2. Prohibited Uses:
8.2.1. All items with higher than 18% GST including but not limited to cigarettes, aerated drinks etc.
8.2.2. cash-out, peer-to-peer transfer or foreign exchange.
8.2.3. any activity breaching anti-money-laundering, anti-corruption or sanctions laws.
9.1. The list of brands, products and vouchers is dynamic and may change without notice.
9.2. Voucher-specific T&C (expiry, usage, etc.) appear on the platform, however, it does not construe any relationship of Awfis with any third-party whose information is provided. The Member Company and its Employees must read them; Awfis cannot refund or exchange vouchers once issued in near real time.
9.3. Third-Party Brands – Disclaimers, No Relationship, and Indemnity
9.3.1. Facilitation Only: Awfis acts solely as a facilitator or reseller of third-party vouchers, coupons, gift cards, or merchandise (“Brand Items”). Awfis does not manufacture, endorse, guarantee, or assume any responsibility for the underlying goods or services supplied by the issuing brand, and the entire risk of redemption, quality, suitability, safety, and availability of the Brand Items rests exclusively with the Member Company and/or the redeeming Employee.
9.3.2. No Partnership or Agency: The display of any brand name, trademark, service mark, logo, image, or other identifier on the Wallet platform or in Programme materials is for identification purposes only and does not create any partnership, joint venture, agency, employment, franchise, or other relationship between Awfis and such brand, nor does it grant the Member Company, its Employees, or any third party any licence or right to use that intellectual property except to the limited extent necessary to redeem the Brand Item in accordance with the issuer’s terms.
9.3.3. Disclaimer of Warranties: Except as expressly set out in these Terms, Awfis disclaims all representations and warranties, express, implied, statutory, or otherwise— including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, reliability, timeliness, or availability— with respect to (a) any Brand Item, (b) the issuing brand’s performance or non-performance, and (c) the Wallet platform’s continuous or error-free operation.
9.3.4. No Liability for Brand-Side Failure: To the fullest extent permitted by Applicable Law, Awfis shall not be liable for, and the Member Company waives and releases all claims against Awfis arising from, any refusal by a brand to honour a Brand Item, any delay or defect in the goods/services supplied by the brand, or any brand-imposed restrictions, expiry, or blackout dates. The Member Company’s sole remedy shall lie against the issuing brand.
9.3.5. Indemnity Extension: In addition to the indemnity in Clause 17, the Member Company shall defend, indemnify, and hold harmless Awfis, the relevant issuing brand, and their respective directors, officers, employees, and agents from and against any and all Losses (as defined in Clause 17.1) arising out of or related to any claim brought by an Employee or other third party in connection with a Brand Item.
10.1. Invoices are exclusive of GST unless Voucher-only Mode is active.
10.2. If the Member Company deducts TDS, it shall provide TDS certificates within statutory timelines and pay interest at 24% p.a. on unreconciled TDS from due date until credit is evidenced; Awfis may recover unreconciled amounts from the security deposit or cheques.
10.3. Each Party bears its own direct and indirect tax liabilities arising from Programme use.
11.1. No Responsibility for External Reversals: The Member Company acknowledges that (a) Credits may be funded via cards or other payment methods ultimately processed by third -party acquirers, networks (e.g., Visa,Mastercard, RuPay), banks, or payment aggregators (collectively, “Payment Rails”); and (b) Payment Rails may impose chargebacks, claw-backs, fines, penalties, scheme fees, or similar assessments (together,“Chargeback Losses”) on Awfis in connection with disputed transactions, fraud alerts, AML flags, or merchant-category violations. AWFIS SHALL HAVE NO LIABILITY WHATSOEVER for any Chargeback Losses or forany refund, reversal, or credit that a Payment Rail processes under its own rules and shall keep us indemnifiedfor such Chargeback Losses.
11.2. Member-Company Indemnity: The Member Company shall defend, indemnify, and hold harmless Awfis, its Affiliates, and their respective directors, officers, employees, and agents from and against all Chargeback Losses and any third-party claims, fines, assessments, or penalties arising out of or relating to (i) the Member Company’s funding of Credits via any Payment Rail; (ii) the Member Company’s or its employees’ breach of any Payment Rail rules; or (iii) the Member Company’s failure to comply with applicable law in connection with the Programme. Awfis may recover or set off any Chargeback Losses from Credits or other sums held or payable to the Member Company.
12.1. The deposit/cheques secure (i) payment of invoices, (ii) unreconciled TDS and (iii) negative balances.
12.2. If TDS remains unpaid for 15 days from due date, Awfis may set-off the deposit or bank the cheques after giving seven (7) days’ notice.
12.3. Security Deposit will be refunded post adjustment towards any pending liabilities towards this programme.
13.1. Awfis may suspend or freeze any Wallet without notice if required by law or on reasonable suspicion of fraud or breach of these Terms. Prompt notice follows unless legally barred.
14.1. All IP in the Wallet platform and Awfis marks remains with Awfis or its licensors.
14.2. Personal data is processed under the Awfis’s Privacy Policy which is publicly available at Awfis’s website.
14.3. All users of the Awfis Corporate Wallet who redeem a Voucher explicitly agree on sharing their PI (Personal Information) details, specifically Name, Email, Mobile number with companies with whom Awfis has partnered with for Voucher issuance. These companies include Voucher issuing brands, Voucher aggregators, Voucher technical service providers and payment gateway providers.
14.4. Member Companies and its authorized users also agree that Awfis and its voucher partners will send SMS, WhatsApp messages, app notifications, and emails related to voucher issuance.
Each Party shall comply with all applicable laws relating to anti-bribery, anti-corruption, and prevention of money laundering in India, including the Prevention of Corruption Act, 1988 and the Prevention of Money Laundering Act, 2002. Awfis may suspend Wallets immediately upon suspected breach of this clause.
16.1. Each Party warrants that it is duly incorporated, has authority to enter these Terms and will not breach any law or contract by doing so.
16.2. Member Company Warrants that (a) all KYC/tax info is true and current; (b) allocations comply with employment, tax and privacy laws; and (c) Credits will not be used for Prohibited Acts.
16.3. Awfis warrants that it will process all personal data in accordance with applicable law and the Awfis Privacy Policy; and
16.4. Awfis warrants that it will make commercially reasonable efforts to supply the vouchers, gift cards, food-and-beverage items, workspace services and other merchandise described in these Terms, subject always to availability and Clause 9 (Dynamic Catalogue).
17.1. Scope of Indemnity. The Member Company shall, at its own expense, defend, indemnify, and hold harmless Awfis, its Affiliates, and each of their respective directors, officers, employees, and agents (collectively, “Awfis Indemnitees”) from and against any and all losses, liabilities, damages, fines, penalties (including tax- and data-protection-related penalties), costs, and reasonable attorneys’ fees (together, “Losses”) arising out of or relating to: (a) any fraud, wilful misconduct, or negligence of the Member Company or its employees, contractors, or authorised users; (b) any breach of these Terms or of applicable law by the Member Company or its employees, contractors, or authorised users; or (c) any third-party claim arising from the Member Company’s or its employees’ use of the Wallet, Credits, or related services.
17.2. Survival and Uncapped Liability: The obligations in this Clause 17 survive any expiry or termination of these Terms and are not subject to, nor do they count toward the liability cap in Clause 18.
18.1. Aggregate Cap: To the fullest extent permitted by law, Awfis’s total cumulative liability for all claims arising under or in connection with these Terms, whether in contract, tort (including negligence), or otherwise shall not exceed INR 10,000 (Rupees ten thousand).
18.2. Excluded Damages: Awfis shall have no liability for any indirect, incidental, special, punitive, exemplary, or consequential losses (including loss of profit, business interruption, or loss of data), and no provision herein imposes liquidated-damages or penalty-payment obligations on Awfis.
18.3. Operational-Risk Exclusions: Awfis shall not be liable for any delay in crediting, misallocation of Credits, or other performance failures resulting from, arising out of (a) inaccurate, incomplete, or ambiguous data or instructions, including but not limited to wrong emails or wrong mobile numbers supplied by the Member Company or its authorised users; (b) the Member Company’s failure to settle invoices or maintain sufficient funded balances; or (c) unauthorised or fraudulent requests that reasonable internal controls could not have prevented. The Member Company must implement and maintain an internal approval workflow and appropriate security measures before submitting any Credit-funding or disbursal instruction to Awfis.
19.1. A Party is excused from performance of the affected obligations during a Force-Majeure Event, provided it promptly notifies the other Party and uses reasonable efforts to mitigate.
19.2. If the Force-Majeure Event endures for sixty (60) consecutive days, Awfis may terminate the Programme on fifteen (15) days’ written notice.
Unused Credits and expired Credits will never be converted to currency or returned to the Member Company, its authorized users, its Employees, or any third party.
21.1. Assignment: Neither Party may assign without the other’s consent, save Awfis may assign to an affiliate or successor on 30 days’ notice.
21.2. Notices: Legal notices must be couriered or digitally signed-e-mailed to the addresses in the Membership Agreement; deemed received on the third Business Day (courier) or on email confirmation.
21.3. Severability: If any provision is unenforceable, the remainder survives.
21.4. Waiver: Failure to enforce any right is not a waiver of future enforcement.
21.5. Amendment: Awfis reserves the right to modify, update, or replace these Terms at any time by posting the revised version on its website or wallet portal and/or by sending the Member Company a notification e-mail. Unless a later effective date is stated, changes become effective immediately upon posting or notification. Continued loading of funds or use of Credits after the effective date constitutes acceptance of the revised Terms.
21.6. Entire Agreement & Precedence: These Terms plus the Membership Agreement are the entire agreement on the Programme; these Terms prevail on conflict.
21.7. Governing Law & Jurisdiction: Indian law governs; courts at Delhi have exclusive jurisdiction.
21.8. Survival: Clauses on privacy and data protection, indemnity, liability, governing law, jurisdiction and this survival clause remain effective after termination.
21.9. No Partnership or Agency: Nothing in these Terms creates, and shall not be construed as creating, any partnership, joint venture, employment or agency relationship between the Parties.
